General Terms of Use

Article 1 - Preamble and Purpose

These General Terms and Conditions of Use (hereinafter the "Terms") govern access to and use of the STRUKOV NETWORK platform (hereinafter the "Platform"), operated by STRUKOV NETWORK (hereinafter the "Operator" or "We").

The Platform constitutes a digital service enabling its users (hereinafter the "Users" or "You") to participate in a community network of financial solidarity and circular donations structured according to a system of evolving tables.

Access to and use of the Platform implies full and unreserved acceptance of these Terms of Use. In case of refusal, the User must immediately refrain from accessing or using the Platform.

Article 2 - Definitions

For the purposes of these Terms and Conditions, the following terms have the following meanings:

  • “User Account” : personal and secure space created by the User when registering on the Platform.
  • “Tableau” : organizational structure within which Users participate in the circular donation system.
  • “Donation” : voluntary and irrevocable transfer of funds made by a User to another member of the network.
  • “Invitation Code” : a unique identifier allowing a new User to join the Platform through sponsorship by an existing member.
  • “Personal Data” means any information relating to an identified or identifiable natural person in accordance with the General Data Protection Regulation (GDPR).

Article 3 - Registration and Account Creation

3.1 Registration Requirements

Registration on the Platform is reserved for individuals of legal age with full legal capacity. Any minor or legally incapacitated person must obtain prior authorization from their legal representative.

3.2 Registration Procedure

Registration requires the provision of accurate, complete and up-to-date information, including but not limited to:

  • Full name and surname
  • Valid and functional email address
  • Mobile phone number verified
  • Valid Invitation Code provided by an existing member
  • Creating a secure password that meets security requirements

3.3 User Obligations

The User agrees to:

  • Keep your login credentials confidential and do not disclose them to any third party
  • Immediately notify the Operator of any unauthorized use of their User Account
  • Create only one User Account per individual
  • Regularly update your personal information to ensure it remains accurate and up-to-date
  • To assume full responsibility for all activities carried out from their User Account

3.4 Verification and Validation

The Operator reserves the right to verify the accuracy of the information provided and to suspend or terminate any User Account in the event of the provision of inaccurate, incomplete or fraudulent information.

Article 4 - Description and Operation of the Service

4.1 Nature of the Service

STRUKOV NETWORK is a digital platform that facilitates the organization of a community-based circular donation system structured according to a model of evolving tables. The platform connects users and manages donation flows according to predefined and transparent rules.

4.2 Table System

Users participate in organizational structures called "Boards." Each Board comprises a defined number of hierarchical positions. Users progress within Boards according to objective and automated rules based on seniority, referrals made, and adherence to commitments.

4.3 Donation Mechanism

Donations made on the Platform have the following legal characteristics:

  • Voluntary: Each donation is made freely and without constraint by the donating User
  • Irrevocable: Once made, the donation cannot be cancelled, withdrawn or refunded
  • Final: The transfer of ownership of the funds is immediate and without any suspensive conditions.
  • No direct compensation guaranteed: The Operator provides no guarantee of receiving a donation in return.

4.4 Role of the Operator

The Operator provides only the technical and administrative infrastructure enabling Users to interact with each other. The Operator does not intervene in individual transactions between Users and does not guarantee any financial results or profitability.

Article 5 - User Obligations and Responsibilities

5.1 Compliance with Regulations

The User agrees to use the Platform in accordance with applicable laws and regulations, including:

  • Legislation relating to the fight against money laundering and the financing of terrorism
  • Tax regulations applicable to donations and gifts
  • Provisions relating to the protection of personal data
  • Laws relating to payment services and financial service providers

5.2 Prohibited Uses

It is strictly forbidden to use the Platform for:

  • To commit fraudulent, criminal or public order offenses
  • Impersonating someone else or providing false information
  • Harassing, threatening, defaming or infringing on the rights of other Users
  • Attempting to circumvent security measures or gaining unauthorized access to computer systems
  • Promoting illegal pyramid schemes or Ponzi-type activities
  • Using robots, scripts or any other unauthorized automated means

5.3 Community Behaviour

The User agrees to behave respectfully, courteously, and considerately towards other members of the community. Any abusive, aggressive, or inappropriate behavior may result in the suspension or termination of the User Account without notice or compensation.

Article 6 - Limitations of Liability

6.1 Operator's Responsibility

The Operator will take all reasonable steps to ensure the proper functioning of the Platform. However, its liability is expressly limited under the following conditions:

  • Availability: The Operator does not guarantee uninterrupted access to the Platform and disclaims all liability in the event of temporary unavailability resulting from maintenance, technical failures or force majeure.
  • Transactions between Users: The Operator is not a party to transactions between Users and disclaims all liability concerning the execution, validity, or consequences of said transactions
  • User Content: The Operator exercises no prior control over content published by Users and cannot be held responsible for its accuracy, legality, or appropriateness.
  • Financial losses: The Operator does not guarantee any financial results and disclaims all liability for losses, lost profits, or indirect damages suffered by Users.

6.2 No Guarantee of Results

The User expressly acknowledges and accepts that their participation in the network does not constitute an investment, a financial asset, or a savings product. No guarantee of return, profit, or recovery of invested capital is provided. Participation involves inherent risks that the User fully and irrevocably accepts.

6.3 Force Majeure

The Operator cannot be held responsible for any failure to perform its obligations resulting from events of force majeure as defined by French case law, including in particular natural disasters, armed conflicts, strikes, power outages, cyberattacks, legislative or regulatory changes, or decisions of public authorities.

Article 7 - Intellectual Property

All elements comprising the Platform (structure, design, logos, trademarks, texts, images, graphics, databases, software, source codes) constitute a work protected by the provisions of the Intellectual Property Code and international conventions relating to intellectual property.

Any reproduction, representation, modification, publication, adaptation, transmission or exploitation, in whole or in part, of any kind whatsoever, without the prior written authorization of the Operator, is strictly prohibited and constitutes an act of infringement punishable under civil and criminal law.

Access to the Platform grants the User a strictly personal, non-exclusive, non-assignable and non-transferable right of use, limited to the normal use of the Platform's functionalities.

Article 8 - Protection of Personal Data

The processing of Personal Data collected in connection with the use of the Platform is governed by our Privacy Policy, which forms an integral part of these Terms and Conditions.

In accordance with Regulation (EU) 2016/679 of 27 April 2016 (GDPR) and Law No. 78-17 of 6 January 1978 relating to information technology, files and freedoms, the User has a right of access, rectification, erasure, limitation, objection and portability of his Personal Data.

These rights can be exercised by sending a request accompanied by a copy of an identity document to the contact address indicated in the Privacy Policy.

Article 9 - Suspension and Termination

9.1 Suspension by the Operator

The Operator reserves the right to suspend access to the User Account immediately and without notice in the event of:

  • Violation of these Terms and Conditions
  • Fraudulent, abusive or unlawful behavior
  • Failure to comply with legal and regulatory obligations
  • Risk to the security of the Platform or other Users
  • Judicial or administrative requisition

9.2 Termination by the User

The User may terminate their User Account at any time by sending a written request to the Operator. Termination will take effect thirty (30) days after receipt of the request.

9.3 Consequences of Termination

Terminating your User Account will permanently remove your access to the Platform. Personal Data will be retained in accordance with legal obligations and the Privacy Policy. No refunds will be issued for donations made following termination.

Article 10 - Amendment to the Terms and Conditions

The Operator reserves the right to unilaterally modify these Terms of Use at any time. Modifications will take effect upon their publication on the Platform.

Users will be notified of substantial changes by electronic notification or any other appropriate means. Continued use of the Platform after the changes take effect constitutes acceptance of the new Terms of Service.

If the User refuses the modifications, they must immediately cease using the Platform and may terminate their User Account in accordance with the terms set out in Article 9.

Article 11 - Miscellaneous Provisions

11.1 Entire Agreement

These Terms of Use, together with the Privacy Policy, constitute the entire agreement between the Operator and the User regarding the use of the Platform and supersede all prior written or oral agreements.

11.2 Divisibility

If one or more provisions of these Terms and Conditions are declared invalid, illegal, or unenforceable by a final court decision, the other provisions will remain in full force and effect. The parties will endeavor to replace the invalid provision with a valid provision of equivalent economic effect.

11.3 Waiver

The Operator's failure to enforce any breach by the User of any of the obligations referred to in these Terms and Conditions shall not be construed as a waiver of its right to enforce such breach or any other breach at a later date.

11.4 Assignment

The User may not assign, transfer, or subcontract all or part of its rights and obligations under these Terms of Service without the Operator's prior written consent. The Operator may freely assign or transfer these Terms of Service in the context of a restructuring, sale, or acquisition.

Article 12 - Applicable Law and Jurisdiction

12.1 Applicable Law

These Terms and Conditions are governed by French law, to the exclusion of any other legislation.

12.2 Amicable Settlement of Disputes

In the event of a dispute relating to the interpretation, execution or termination of these Terms and Conditions, the parties agree to seek an amicable solution prior to any legal action.

12.3 Jurisdiction

In the absence of an amicable resolution within thirty (30) days following notification of the dispute by registered letter with acknowledgment of receipt, the dispute will be brought before the competent French courts, in accordance with the rules of common law.

For Users who qualify as consumers under the Consumer Code, the rules of territorial jurisdiction provided for in the Code of Civil Procedure apply.

Article 13 - Notifications and Communications

All notifications and communications between the Operator and the User can be made:

  • By email to the address provided in the User Account
  • Via notification in the Platform interface
  • By registered letter with acknowledgment of receipt

The User agrees to maintain a valid email address and to regularly check their messages and notifications.
